Terms of Service

Created:

Last updated:

Separate software terms

These Terms govern the website, online account, checkout, enquiries, trials, beta programs, support requests, and related online services. Installation, activation, and use of an INOBITEC software product are additionally governed by the applicable separate End User License Agreement (EULA), order documents, and any product-specific terms. These Terms do not replace or merge those agreements.

1. Acceptance of These Terms

These Terms of Service (“Terms”) form a legal agreement between you and Inobitec Software FZ-LLC (“INOBITEC”, “we”, “us”, or “our”) concerning access to and use of https://inobitec.com, associated account and checkout features, and other online services that link to these Terms (collectively, the “Website Services”).

By accessing or using the Website Services, submitting an order, creating or using an account, or selecting an acceptance control, you agree to these Terms. If you act for an organization, you represent that you have authority to bind that organization, and “you” includes the organization. If you do not agree, do not use the Website Services.

2. Eligibility and Authority

You must use the Website Services only in compliance with applicable law. The Website Services are not directed to children. You may not use them if applicable law, sanctions, export controls, or contractual restrictions prohibit the transaction or access.

You are responsible for ensuring that information submitted on behalf of an employer, healthcare institution, educational institution, distributor, public authority, or other organization is authorized and accurate.

3. Accounts and Authentication

An account may be created during checkout or another registration process. Authentication may use a one-time code delivered to your email address rather than a password. You must provide an accurate email address, maintain control of that mailbox, and promptly notify us of suspected unauthorized access.

You are responsible for activities performed through your account or email-based authentication unless caused by INOBITEC’s breach of applicable obligations. You may not share access codes, impersonate another person, create accounts using misleading details, or use automated methods to obtain unauthorized access.

We may suspend or restrict an account to protect security, investigate suspected fraud or misuse, comply with law, or enforce these Terms. Where reasonably practicable, we will provide notice and an opportunity to address the issue.

4. Electronic Communications

By using the Website Services, you agree that, where permitted by applicable law, INOBITEC may provide agreements, notices, disclosures, invoices, receipts, account information, security alerts, verification codes, and other communications electronically, including by email, through your account, or by posting them on the Website.

You are responsible for maintaining a valid email address, monitoring your account and email communications, and ensuring that messages from INOBITEC are not blocked by spam filters or other technical measures.

Electronic communications satisfy any legal requirement that such communications be provided in writing, except where applicable law requires another form of communication.

5. Website Information and Availability

We aim to keep website content accurate and available, but product descriptions, screenshots, specifications, compatibility information, prices, availability, documentation, and other content may change. Unless expressly incorporated into an order or signed agreement, website content is informational and does not create a guarantee.

We may maintain, modify, replace, suspend, or discontinue any Website Service or feature. We do not guarantee uninterrupted, error-free, or universally available access. Planned or emergency maintenance, network failures, security events, legal requirements, or third-party dependencies may affect availability.

6. Orders and Contract Formation

Submitting an order is an offer to purchase the identified product or service. An automated acknowledgement confirms receipt but does not necessarily constitute acceptance. A contract is formed when INOBITEC confirms acceptance, issues the applicable license or entitlement, begins performance, or otherwise communicates acceptance.

We may reject or cancel an order before acceptance because of pricing or description errors, suspected fraud, sanctions or export restrictions, payment failure, product unavailability, eligibility requirements, or other legitimate reasons. If payment was captured for a rejected order, we will arrange a refund using the applicable payment channel, subject to legal and banking constraints.

Orders may be governed by an order form, quotation, invoice, reseller arrangement, public tender, or separately signed agreement. If any inconsistency exists between the applicable documents, the following order of precedence applies unless a document expressly states otherwise: (i) any separately signed agreement; (ii) the applicable order form or accepted quotation; (iii) the applicable product End User License Agreement (EULA); (iv) these Terms with respect to the Website Services; and (v) any referenced policies.

7. Prices, Taxes, and Payment

Prices are displayed or quoted in the stated currency and may exclude taxes, duties, bank charges, withholding, customs fees, or similar governmental assessments unless expressly stated. You are responsible for applicable amounts other than taxes imposed on INOBITEC’s net income.

Payments may be made by payment card through Stripe, by bank transfer, by cryptocurrency where offered on the Website, or by another payment method approved by INOBITEC. Card details are processed by Stripe under its terms; INOBITEC does not receive complete card credentials. Bank-transfer instructions must be followed accurately, and all transfer fees must be paid by the payer unless agreed otherwise.

Invoices may be issued electronically. You must provide accurate billing and tax information. Late or incomplete payment may delay delivery, activation, renewal, support, or other performance. We may conduct fraud, sanctions, export-control, and compliance screening.

Unless otherwise required by applicable law or expressly agreed in writing, software licenses are delivered electronically after acceptance of the order and successful payment. Because INOBITEC products consist of electronically delivered software license rights, fees paid for licenses that have been issued or activated are generally non-refundable. Nothing in these Terms limits any mandatory refund, cancellation, or withdrawal rights that cannot be waived under applicable law.

8. Software Licenses and Separate EULAs

Purchase of software does not transfer ownership of the software or intellectual property. It provides only the license rights expressly granted in the applicable EULA, license certificate, order, or signed agreement.

The applicable EULA governs installation, activation, permitted devices or users, restrictions, updates, technical protection measures, audit or verification rights, termination of license rights, and product warranties or disclaimers. In the event of conflict concerning software use, the EULA controls over these Terms.

License activation and validation may require processing of technical data such as activation time, IP address, device information, license key or entitlement identifier, Product Code, and product version. Attempts to evade activation limits, falsify technical information, extract license keys, or circumvent protection measures are prohibited.

9. Trials, Demonstrations, and Beta Programs

Trials, demonstrations, previews, evaluation licenses, and beta releases may be time-limited, feature-limited, subject to eligibility criteria, and provided solely for evaluation purposes. They may contain defects, change without notice, or be discontinued at any time.

Unless expressly agreed otherwise, beta and pre-release materials are confidential, unsupported, and provided without service levels, warranties, or any commitment to commercial release. You must not use beta or pre-release materials in production environments, for clinical diagnosis, patient care, or safety-critical decisions.

We welcome feedback regarding our products and services. Unless otherwise agreed in writing, you grant INOBITEC a worldwide, perpetual, irrevocable, non-exclusive, royalty-free right to use, reproduce, modify, and incorporate your feedback into our products, services, documentation, and business operations without compensation or obligation to you. This license does not authorize INOBITEC to publicly attribute feedback to you without your consent.

10. Testimonials and Public Reviews

You may voluntarily submit testimonials, reviews, ratings, or other public feedback through the Website or by responding to our requests.

If you choose to submit a testimonial for publication, you confirm that:

• the information you provide is accurate and based on your genuine experience;

• you have the right to provide the information and any accompanying materials;

• where you choose to provide personal information such as your name, job title, employer, country, photograph, or similar identifying information, you expressly consent to INOBITEC publishing such information together with your testimonial on the Website, in marketing materials, or through other communication channels;

• you understand that you may withdraw your consent for future publication at any time by contacting us, although such withdrawal will not affect lawful publication that occurred before your request was received.

INOBITEC reserves the right to decline, remove, or stop displaying any testimonial at its discretion.

11. Support, Training, and Custom Development

Support scope, response targets, supported versions, channels, and fees are determined by the applicable order, maintenance plan, EULA, or support agreement. Website submission of a support request does not itself create a guaranteed response time or service level.

You must provide reasonably complete and accurate information and cooperate with troubleshooting. Before uploading files, remove unnecessary personal, confidential, patient-identifiable, or regulated information.

Training and custom development are subject to scheduling, scope, assumptions, acceptance criteria, dependencies, fees, and intellectual-property terms stated in a separate proposal, statement of work, or agreement. Website communications alone do not obligate INOBITEC to perform custom work.

12. Acceptable Use

You must not use the Website Services to violate law or third-party rights; distribute malware; interfere with security or availability; probe, scan, or test systems without written authorization; scrape or harvest data through automated means contrary to instructions; bypass access controls; impersonate others; submit fraudulent information; send spam; upload unlawful or infringing material; or assist another person in doing so.

You must not reverse engineer, decompile, disassemble, copy, modify, or create derivative works of website software except to the limited extent such restriction is prohibited by mandatory law. You must not remove proprietary notices or use INOBITEC names, logos, or product marks without permission.

Reasonable, non-disruptive indexing by generally recognized search engines is permitted unless restricted by technical instructions. Any security research requires prior written authorization and compliance with the scope communicated by INOBITEC.

13. User Submissions

You retain ownership of content and materials you submit through the Website Services ("User Submissions"). INOBITEC does not claim ownership of your User Submissions.

You grant INOBITEC and its service providers a non-exclusive, worldwide, royalty-free license to host, reproduce, transmit, adapt, and otherwise process User Submissions only as reasonably necessary to provide the requested service, operate and secure the Website Services, comply with law, and exercise legal rights.

You represent that you have all rights, permissions, and lawful bases required to submit and authorize processing of User Submissions. You must not submit material that is unlawful, defamatory, infringing, deceptive, malicious, or subject to confidentiality restrictions that prohibit disclosure.

INOBITEC is not responsible for preserving User Submissions as a backup service. Keep independent copies of important materials.

14. Intellectual Property

The Website Services, site design, text, graphics, logos, software, documentation, databases, product names, trademarks, and other materials are owned by or licensed to INOBITEC and are protected by intellectual-property laws. Except for rights expressly granted, all rights are reserved.

Subject to these Terms, INOBITEC grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Website Services for their intended lawful purpose. No right to source code, trade secrets, trademarks, or other intellectual property is implied.

15. Third-Party Services and Links

Website Services may rely on or link to third-party services, including payment, analytics, advertising, communications, mapping, authentication, or hosting services. Third-party services are governed by their own terms and privacy practices. INOBITEC does not control and is not responsible for independent third-party content or services.

References to third-party products do not imply endorsement. You are responsible for ensuring that your use of third-party systems is properly licensed and compatible with your environment.

16. Privacy and Cookies

Our Privacy Policy explains how we process personal data, and our Cookie Policy describes cookies and similar technologies. By using the Website Services, you acknowledge those notices. Where consent is required, choices are managed through the website’s consent tools.

17. Confidentiality

If either party receives information clearly identified as confidential or that reasonably should be understood as confidential, the receiving party will use reasonable care to protect it and use it only for the relevant business purpose. This section does not apply to information that is public without breach, independently developed, lawfully received without duty, or required to be disclosed by law.

More specific confidentiality terms in an NDA, or other signed contract control where inconsistent.

18. Compliance, Export Controls, and Sanctions

You must comply with applicable export-control, sanctions, anti-boycott, anti-bribery, and trade laws. You represent that you are not located in, ordinarily resident in, organized under the laws of, or acting for a prohibited jurisdiction or restricted party, except where a transaction is lawfully authorized.

You may not export, re-export, transfer, provide access to, or use products, software, technology, or services in violation of applicable controls. You must not use them for prohibited nuclear, chemical, biological, missile, military-intelligence, or other restricted end uses.

INOBITEC may screen parties and transactions, request compliance information, suspend performance, or terminate an affected transaction where reasonably necessary to comply with law or manage material compliance risk.

19. Medical and Professional Use Disclaimer

Unless a product-specific agreement expressly states otherwise, information published on the Website, including demonstrations, trial versions, beta releases, support communications, documentation, and other general materials, is provided for general informational purposes only. It does not constitute medical advice, professional advice, clinical guidance, or regulatory guidance and does not replace professional judgment, validated clinical workflows, applicable regulatory requirements, or official product documentation.

Healthcare professionals, healthcare organizations, distributors, and other users remain solely responsible for diagnosis, treatment, patient safety, regulatory compliance, system validation, data quality, cybersecurity, backups, and the lawful and appropriate use of INOBITEC products within their own environments.

Trial versions, beta releases, demonstrations, and other pre-release materials must not be relied upon for clinical diagnosis, patient care, or other safety-critical decisions.

20. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. INOBITEC DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

INOBITEC DOES NOT WARRANT THAT THE WEBSITE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, COMPATIBLE WITH EVERY SYSTEM, OR FREE OF HARMFUL COMPONENTS; THAT INFORMATION WILL ALWAYS BE COMPLETE OR CURRENT; OR THAT DEFECTS WILL BE CORRECTED. MANDATORY RIGHTS THAT CANNOT LAWFULLY BE DISCLAIMED REMAIN UNAFFECTED.

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INOBITEC, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, ANTICIPATED SAVINGS, DATA, OR USE, OR FOR ANY BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF THE WEBSITE OR THE WEBSITE SERVICES PROVIDED UNDER THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE FOREGOING LIMITATIONS APPLY REGARDLESS OF THE FORM OF ACTION OR LEGAL THEORY, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR OTHERWISE.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

THESE LIMITATIONS OF LIABILITY APPLY ONLY TO THE WEBSITE AND THE WEBSITE SERVICES GOVERNED BY THESE TERMS. YOUR USE OF INOBITEC SOFTWARE PRODUCTS IS GOVERNED BY THE APPLICABLE END USER LICENSE AGREEMENT (EULA) OR OTHER WRITTEN AGREEMENT, WHICH MAY CONTAIN ADDITIONAL OR DIFFERENT LIABILITY PROVISIONS.

22. Indemnity

To the extent permitted by law, you will defend, indemnify, and hold harmless INOBITEC and its affiliates, officers, employees, and contractors from third-party claims, damages, losses, costs, and expenses arising from your unlawful use of the Website Services; violation of these Terms; User Submissions; infringement of third-party rights; or use on behalf of an organization without authority.

This obligation does not apply to the extent a claim was caused by INOBITEC’s breach of these Terms or unlawful conduct. INOBITEC may control the defense and settlement of an indemnified claim, and you must provide reasonable cooperation.

23. Suspension and Termination

You may stop using the Website Services at any time. We may suspend or terminate access for material breach, fraud, security risk, non-payment, prohibited activity, legal requirement, discontinuation, or conduct that may harm INOBITEC, users, or third parties.

Where appropriate, we will provide notice and an opportunity to cure. Immediate action may be taken for urgent security, fraud, sanctions, legal, or safety reasons. Termination of these Terms does not automatically terminate or expand rights under a separate EULA or signed agreement; those documents govern their own termination effects.

Sections that by nature should survive—including intellectual property, payment obligations, confidentiality, disclaimers, limitations, indemnity, dispute terms, and records required by law—survive termination.

24. Governing Law and Disputes

These Terms are governed by the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates, excluding conflict-of-law rules, subject to mandatory consumer protections that cannot be waived under applicable law.

The parties will first attempt in good faith to resolve any dispute through written notice and reasonable business discussions.

The courts of Dubai, United Arab Emirates, shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms, except where mandatory applicable law grants a consumer the right to bring proceedings before another competent court.

Nothing in these Terms prevents either party from seeking urgent injunctive or other interim relief to protect confidential information, intellectual property, or security interests.

25. Changes to These Terms

We may update these Terms to reflect legal, technical, security, product, or business changes. The revised Terms will be posted with an updated date. Material changes may be communicated through the website, account, or email where appropriate. Changes apply prospectively unless law requires otherwise.

Continued use after the effective date of revised Terms constitutes acceptance where legally permitted. If you do not agree, stop using the affected Website Services. Existing orders and signed agreements remain governed by their applicable terms unless validly amended.

26. General Terms

Neither party may assign these Terms without the other party’s consent, except that INOBITEC may assign them to an affiliate or in connection with a merger, reorganization, financing, or sale of business or assets. Any prohibited assignment is void.

Failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be modified to the minimum extent necessary or severed, and the remainder will continue. Headings are for convenience. “Including” means “including without limitation”. Electronic communications and records may satisfy writing requirements where permitted.

These Terms and documents expressly incorporated by reference constitute the entire agreement regarding the Website Services, except for separate EULAs, orders, and signed agreements governing specific products or services. No third party has enforcement rights unless expressly stated.

These Terms are prepared in the English language. If a translation is provided for convenience, the English version shall prevail in the event of any inconsistency, to the extent permitted by applicable law.
